This Creator Agreement (version 1.0) is between you (the "Creator") and Adalwin Commerce LLP, which operates the Dropkyd platform ("Dropkyd", "we", "us"). You accept it when you tick "I agree to Dropkyd's creator terms" during onboarding. That acceptance is recorded against your account (version, date, and originating network address) and constitutes your electronic signature.
1. What Dropkyd does — and doesn't
- Dropkyd provides the storefront, manufacturing, payment collection, shipping, and buyer support for the products you list.
- Dropkyd is a service provider and intermediary — not the author, owner, or originator of your designs or content, and not the publisher of any opinion expressed through them.
- You are the seller of record for your drops. Dropkyd fulfils them on your behalf.
2. Your designs are yours — and your responsibility
- You retain ownership of the designs, artwork, names, slogans, images, and other content you publish ("Creator Content"). You grant Dropkyd a non-exclusive, royalty-free licence to produce, photograph, market, and ship products bearing it, and to display it on the platform.
- You are solely responsible for all Creator Content — including any design produced for you through the Dropkyd Studio design service. Commissioning or buying a Studio design pack does not transfer responsibility for it to Dropkyd; you review, approve, and publish it, and you carry responsibility for the final published design exactly as if you had drawn it yourself.
- You represent and warrant that you own, or hold all necessary rights, licences, and permissions for, every element of your Creator Content, and that publishing and selling it does not infringe any third party's rights.
3. Intellectual property & copyright
- You are solely liable for any claim that your Creator Content infringes a copyright, trademark, design right, personality/publicity right, or any other intellectual-property or proprietary right of any person.
- You agree to indemnify, defend, and hold harmless Adalwin Commerce LLP, the Dropkyd brand, and its directors, partners, employees, and agents from and against any and all claims, demands, proceedings, losses, damages, fines, penalties, and costs (including reasonable legal fees) arising out of or relating to your Creator Content, your products, or your breach of this Agreement.
- Dropkyd is not liable for any infringement, damage, or loss caused by your Creator Content. Any liability that nonetheless attaches to Dropkyd in respect of your Creator Content is your responsibility to make good.
4. Lawful & non-offensive content
- You are solely responsible for ensuring your Creator Content is lawful and does not defame, harass, or hurt the religious, cultural, political, or personal sentiments of any individual, group, or community.
- Dropkyd is not liable for any offence, hurt to sentiments, defamation, or damage caused by your Creator Content, and your indemnity in Section 3 extends to any such claim.
- You will not publish content that is obscene, hateful, deceptive, or otherwise unlawful under Indian law.
5. Takedown & suspension
On a credible complaint, legal notice, or our own reasonable judgement that Creator Content may be infringing or unlawful, we may remove the listing and/or suspend your account without prior notice. We'll tell you why, and you can respond. Removing content does not, by itself, transfer any responsibility for it to Dropkyd.
6. Pricing, payouts & returns
- You set your retail price above the base cost; Dropkyd's share is shown transparently in your dashboard before you publish.
- Net earnings are paid out weekly (Fridays) to your verified payout method, once an order's 7-day return window has closed, so a payout never goes out for a sale that's about to come back.
- Refunds, returns, and chargebacks on your orders are netted against your earnings.
7. Limitation of liability
Except for your indemnities above, each party's liability is limited to direct damages, and Dropkyd's aggregate liability to you is capped at the payouts due to you in the three months preceding the claim. Neither party is liable for indirect or consequential loss.
8. Term & changes
This Agreement continues while you have an active creator account. We may update it; material changes are notified at least 14 days in advance and may require you to accept a new version. The version you accepted is recorded against your account.
9. Governing law
This Agreement is governed by the laws of India; courts in Pune have exclusive jurisdiction. Questions? Email support@dropkyd.com.
